provided by WrenchWave (“Services”). The Platform serves as an intermediary, allowing vehicle

owners (“Customers”) to connect with licensed, insured, and qualified mechanics (“Service

Providers”) for the purpose of obtaining vehicle repair and maintenance services. By accessing,

browsing, or using the Platform in any way, you agree to comply with and be bound by these

Terms, as well as any applicable laws, regulations, and guidelines.

The Services provided through the Platform enable Customers to request vehicle repair services,

receive quotes, and connect with Service Providers who are available to perform the requested

services. Service Providers are independent contractors, not employees of WrenchWave, and their

work is subject to the terms of their agreement with the Customer.

Please take the time to carefully review these Terms, as they outline important information about

your rights, obligations, and responsibilities when using the Platform. These Terms constitute a

legally binding agreement between you and WrenchWave. If you do not agree with any part of

these Terms, you should immediately cease using the Platform and refrain from accessing or

utilizing any of the services provided.

If you are using the Platform on behalf of a company or other legal entity, you confirm that you

have the authority to bind that entity to these Terms and agree that both you and the entity are

subject to these Terms.

WrenchWave reserves the right to modify, update, or revise these Terms at any time, and any

changes will become effective immediately upon posting on the Platform. We will make

reasonable efforts to notify you of any material changes; however, it is your responsibility to

regularly review these Terms to stay informed of any updates. By continuing to use the Platform

after such changes are made, you consent to the updated Terms.

“User”: Refers to any individual who accesses or uses the Platform, including both

Customers and Service Providers.

“Customer”: Refers to any individual or entity that requests vehicle repair services

through the Platform. Customers are responsible for providing accurate information

regarding their vehicle and repair needs.2

“Service Provider”: Refers to independent mechanics or automotive service professionals

who use the Platform to offer vehicle repair services. Service Providers are independent

contractors and are not employed by WrenchWave.

“Services”: Refers to the vehicle repair services offered by Service Providers and

facilitated by WrenchWave, including diagnostic, repair, maintenance, and other vehicle-

related services.

“Platform”: Refers to the WrenchWave website, mobile application, or any other service

or medium used to facilitate the connection between Customers and Service Providers.

2. Use of the Platform

Eligibility

To access and use the Platform, you must meet the following eligibility criteria:

Minimum Age: You must be at least 18 years of age to create an account and use the

Platform. If you are under the age of 18, you may not use the Platform, and you should

seek permission from a parent or guardian.

Legally Capable: You must be legally capable of entering into binding contracts. By using

the Platform, you represent and warrant that you have the capacity to enter into and fulfill

the terms and conditions outlined herein.

Representation for Organizations: If you are using the Platform on behalf of a company,

organization, or other legal entity, you represent that you have the authority to bind that

entity to these Terms. You will be held responsible for any actions taken on behalf of the

entity you represent.

Account Creation

In order to access certain features of the Platform, you must create an account. During the

registration process, you will be required to provide accurate and up-to-date information about

yourself or your business (for Service Providers). You agree to provide truthful, complete, and

accurate information during registration and are responsible for ensuring that this information

remains current. This includes:

Customer Account: When creating a Customer account, you must provide personal

information such as your full name, email address, phone number, and vehicle-related

details (e.g., car make, model, and year). This information is necessary to help you request

services, schedule appointments, and communicate with Service Providers.

Service Provider Account: When creating a Service Provider account, you must provide

personal and professional information, including your full name, contact details, proof of

qualifications, mechanic license, and insurance documentation. This ensures that you meet

the legal and professional requirements to provide services via the Platform.3

You are solely responsible for maintaining the security and confidentiality of your account

credentials, including your username and password. If you suspect any unauthorized access to your

account, you must notify WrenchWave immediately. We are not responsible for any losses or

damages resulting from unauthorized access to your account caused by your failure to safeguard

your credentials.

User Conduct

By using the Platform, you agree to comply with all applicable laws, regulations, and these

Terms. You are expressly prohibited from engaging in any unlawful, fraudulent, or harmful

activities, including but not limited to:

Fraudulent Activity: Providing false, misleading, or deceptive information, such as

misrepresenting the nature of your service request or pretending to be someone else.

Unauthorized Access: Attempting to access or modify areas of the Platform that are not

accessible to you, including any system, database, or functionality that requires special

permission.

Interference: Disrupting or interfering with the functionality of the Platform, including

interfering with the experience of other users or the performance of the Platform’s services.

Harmful Code: Uploading, transmitting, or distributing viruses, malware, or any other

type of harmful computer code designed to damage, disrupt, or interfere with the Platform

or its users.

Abusive Behavior: Engaging in abusive, harassing, discriminatory, or otherwise offensive

conduct toward other users of the Platform, including customers, service providers, or

WrenchWave staff.

You agree not to use the Platform in any way that could damage, disable, or impair its functionality

or interfere with another user’s ability to access or use the Platform. Your conduct must always

respect the rights of others and comply with the terms outlined in this Agreement.

3. Service Terms

Customers’ Responsibilities

As a Customer, you are responsible for providing complete, accurate, and truthful information

when requesting services. You must ensure that:

Accurate Service Requests: You provide accurate details about your vehicle (e.g., make,

model, year) and the nature of the repair or service needed. This ensures that Service

Providers can assess your needs and provide appropriate services.

Vehicle Accessibility: You make your vehicle accessible to the Service Provider at the

time and place agreed upon. If your vehicle is not accessible or ready for repair, it may

result in delays or additional charges.4

Service Acceptance: By requesting a service, you agree to accept the services provided by

the Service Provider once they are completed, subject to any conditions agreed upon

between you and the Service Provider. Any dissatisfaction with the services provided

should be addressed with the Service Provider directly, following the dispute resolution

process outlined in these Terms.

Mechanics’ Responsibilities

Service Providers, as independent contractors, are solely responsible for the services they offer

through the Platform. When a Service Provider lists their services on the Platform, they agree to

the following obligations:

Accurate Information: Service Providers must provide accurate and truthful information

about their qualifications, licenses, and insurance. They must ensure that all information

regarding their services, including pricing, is clear and truthful.

Professionalism: Service Providers are expected to perform their services in a professional

and timely manner, adhering to industry standards and best practices. They must treat

Customers with respect and ensure that the quality of their work meets the required

standards.

Legal Compliance: Service Providers must comply with all local, state, and federal laws

and regulations, including safety standards, industry certifications, and vehicle repair laws.

This also includes obtaining and maintaining any necessary licenses and insurance

coverage.

Service Quality: Service Providers are responsible for the quality and outcomes of the

services they provide. They must ensure that the work completed meets or exceeds the

Customer’s expectations, and they must address any concerns raised by the Customer

regarding the quality of the work.

Platform’s Role

WrenchWave acts solely as an intermediary platform that connects Customers with Service

Providers. WrenchWave does not provide any direct repair services, and we are not a party to the

contract formed between the Customer and the Service Provider. The actual agreement, terms of

service, and performance of services are solely between the Customer and the Service Provider.

WrenchWave does not assume any responsibility for the quality, performance, or outcome of the

services provided by Service Providers. While we strive to ensure that Service Providers meet

our standards, we do not guarantee the results of the services rendered.

Payment

All payments for services provided through the Platform are processed through a third-party

payment processor, such as Stripe. Payment for services includes the full cost of the repair services,

plus any applicable fees (including the service fee charged by WrenchWave).5

Service Fee: WrenchWave charges a service fee on each transaction, which will be clearly

disclosed to the Customer prior to the booking or service agreement.

Payment Process: Payments are processed securely through Stripe, and Service Providers

are paid directly for the services they provide, minus WrenchWave’s service fee. All

payments made via the Platform are final and non-refundable unless otherwise agreed upon

by the Customer and Service Provider or as required by law.

You agree that all transactions conducted through the Platform are final and binding, and

WrenchWave is not responsible for any disputes related to payment once the service has been

completed and payment has been processed.

4. Liability and Disclaimer

WrenchWave’s Liability

WrenchWave serves solely as a platform provider, facilitating the connection between

Customers and Service Providers. As such, WrenchWave does not directly provide repair

services, nor does it control the quality, performance, or outcome of the services rendered by

Service Providers. Therefore:

No Guarantee on Services: We do not warrant or guarantee the services provided by

Service Providers. This includes any promises regarding the accuracy, timeliness, or

completeness of the services rendered.

No Guarantee on Repair Outcomes: We do not guarantee the outcome of any vehicle

repair services. Service Providers are independent contractors, and their services are

subject to their own methods, standards, and practices.

Limitation of Liability: WrenchWave is not liable for any damages, injuries, losses, or

delays that may arise from the use of the services provided by Service Providers. This

includes, but is not limited to, direct or indirect damage to your vehicle, injury to yourself

or others, or financial loss.

Non-Endorsement: WrenchWave does not endorse, recommend, or guarantee any

specific mechanic or repair service provider. We do not have control over the actions,

behavior, or professional standards of Service Providers, and you are encouraged to

evaluate Service Providers based on your own criteria.

Mechanic’s Liability

Service Providers are solely responsible for the services they offer. They agree to:

Indemnification: Service Providers agree to indemnify, defend, and hold WrenchWave

harmless from any liability, claims, damages, or expenses arising from the services they

provide. This includes, but is not limited to, property damage, bodily injury, personal6

injury, or financial loss caused by the Service Provider’s actions or omissions during the

service.

Professional Responsibility: Service Providers are responsible for the quality and

outcomes of their services. They must maintain appropriate insurance, licensing, and

certifications as required by law and ensure that their services are delivered in accordance

with applicable industry standards.

Limitations of Liability

To the fullest extent permitted by applicable law:

Limitation of WrenchWave’s Liability: WrenchWave’s liability, whether in contract,

tort, or otherwise, is limited to the amount paid by you for the specific service in

question. In no event shall WrenchWave be liable for any indirect, incidental, special,

punitive, or consequential damages arising from the use of the Platform or services

provided by Service Providers.

Exclusions: This limitation of liability applies even if WrenchWave has been advised of

the possibility of such damages. It also excludes liability for personal injury or death

caused by our negligence, fraud, or intentional misconduct.

5. Dispute Resolution

Initial Resolution

In the event of a dispute between a Customer and a Service Provider, both parties agree to

attempt to resolve the matter amicably and directly. This may include:

Direct Communication: You should first attempt to resolve the dispute through direct

communication via the Platform’s messaging system or other means of contact.

WrenchWave encourages open dialogue and will assist in facilitating communications

when necessary.

Customer Support: If direct resolution efforts do not work, either party can contact

WrenchWave’s customer support team for assistance. We will work to mediate the issue

or provide guidance on how to proceed.

Arbitration

If the dispute cannot be resolved through direct communication or customer support, both parties

agree to submit to binding arbitration in Massachusetts under the following conditions:

Arbitration Process: Arbitration will be conducted by a neutral third-party arbitrator

selected in accordance with the rules of the American Arbitration Association (AAA) or

another recognized arbitration organization. The decision rendered by the arbitrator will be

final and binding on both parties.7

Location and Language: The arbitration will take place in Massachusetts, and the

proceedings will be conducted in English.

Costs: The parties will equally share the costs of arbitration unless the arbitrator determines

otherwise. Each party will be responsible for their own legal fees and costs unless the

arbitrator awards attorney’s fees to the prevailing party.

By agreeing to arbitration, you waive your right to participate in class actions, and any disputes

will be settled on an individual basis.

WrenchWave reserves the right, at its sole discretion, to modify, update, or change these Terms

at any time without prior notice. Any changes to the Terms will be posted on the Platform, and

the updated version will become effective immediately upon publication.
